Terms of Service
Last Updated: October 5, 2026
These Terms of Service ("Agreement") are entered into by and between MMJI CHILLZ, LLC, a Delaware limited liability company, operating as Linkstub ("Linkstub," "we," "us," or "our"), and the individual accessing or using the Services ("User," "Attendee," "you," or "your"). This Agreement governs your access to and use of Linkstub's online ticketing and event platform and related services (collectively, the "Services"). By accessing or using the Services, creating an account, or purchasing or registering for a ticket, you agree to comply with and be bound by this Agreement. If you do not agree with any part of this Agreement, you must not use the Services.
Section 7 contains provisions about how disputes are resolved, including a waiver of jury trial, a release of claims relating to Organizers and Events, and a time limit for bringing claims. Please read it carefully.
1. DEFINITIONS AND INTERPRETATION
1.1 Definitions
For the purposes of this Agreement:
- "Attendee" refers to any individual purchasing or otherwise obtaining a ticket to, or registering for, an Event through the Services.
- "Content" means all text, images, videos, audio, or other material uploaded, submitted, shared, or displayed through the Services.
- "Event" means any gathering, performance, conference, or similar activity for which tickets are offered or registration is available through the Services.
- "Event Terms" means any terms, policies, rules, or conditions that an Organizer provides for an Event, including its refund policy, age requirements, and admission rules.
- "Fees" refers to all amounts payable by you for an order, including ticket prices, Linkstub Fees, and any other fees, charges, and taxes shown to you before you complete the order.
- "Force Majeure" means circumstances beyond a party's reasonable control, such as natural disasters, acts of terrorism, strikes, cyberattacks, epidemics, pandemics, or governmental actions.
- "Linkstub Fees" means the fees that Linkstub charges for the use of the Services, as described in Section 3.2.
- "Organizer" refers to the individual or entity that creates, manages, or offers tickets to an Event through the Services, including its owners, staff, and representatives acting on its behalf.
- "Privacy Policy" means Linkstub's Privacy Policy, as updated from time to time, which describes how we collect, use, and share personal information. The Privacy Policy is a notice of our privacy practices and is not part of this Agreement.
- "Refund Policy" means the terms concerning the refund or cancellation of ticket purchases for an Event, as established by the Organizer.
- "Services" has the meaning given in the introduction to this Agreement.
- "Third-Party Services" means any services, software, or products provided by entities other than Linkstub that integrate with or are used in connection with the Services.
1.2 Interpretation
The headings in this Agreement are for convenience only and do not affect its interpretation. References to "including" mean "including but not limited to." Any ambiguities in this Agreement shall not be construed against the drafting party. The singular includes the plural and vice versa. Unless otherwise specified, references to Sections are to sections of this Agreement. References to any legislation or legislative provision include any statutory modification or re-enactment of, or legislative provision substituted for, and any subordinate legislation issued under, that legislation or legislative provision.
2. ELIGIBILITY AND ACCOUNTS
2.1 Age and Legal Capacity
You must be at least 13 years of age to create an account or to purchase or register for a ticket through the Services. If you are under 18, or under the age of majority in your jurisdiction if that is higher, you may do so only with the consent of a parent or legal guardian, who agrees to this Agreement on your behalf and is responsible for your use of the Services and for any purchase you make. By creating an account or making a purchase, you represent and warrant that you meet these requirements.
A child under 13 may attend an Event only using a ticket obtained by a parent or legal guardian, subject to the Event Terms, including any age requirements for the Event, and applicable law. A parent or guardian who obtains a ticket for a minor is responsible for the minor's compliance with this Agreement and the Event Terms. Organizers may set age requirements for their Events, and entry may be refused to anyone who does not meet them.
2.2 Account Registration
To access certain features of the Services, you may need to create an account. You must provide accurate and complete information and keep it up to date. You are responsible for maintaining the confidentiality of your sign-in credentials, for the security of any email or third-party account you use to sign in, and for all activities that occur under your account. You agree to notify Linkstub promptly at support@linkstub.com of any unauthorized use of your account or any other breach of security.
Your responsibilities include:
- Keeping your account information up to date, including your contact details.
- Not sharing your password, sign-in codes, or sign-in links with anyone.
- Ensuring that your account is not accessed or used by unauthorized third parties.
- Logging out of your account when using public or shared devices.
Linkstub may verify the information you provide and may request additional information for verification purposes. Providing false or misleading information may result in suspension or termination of your account.
2.3 Use on Behalf of an Organizer
This Agreement also applies to anyone who uses the Services on behalf of an Organizer. Use of the business features of the Services is also governed by our Terms of Engagement. If the Terms of Engagement conflict with this Agreement regarding an Organizer's use of the Services, the Terms of Engagement control.
2.4 Suspension and Termination
Linkstub may suspend or terminate your access to the Services or your account, in whole or in part, at any time, including for suspected fraudulent activity, violation of this Agreement, a requirement of law, or other conduct that we believe may harm Linkstub, Organizers, other users, or the Services.
You may stop using the Services at any time, and you may ask us to close your account by contacting us at support@linkstub.com. Upon suspension or termination:
- You may lose access to some or all features of the Services.
- You remain liable for any outstanding amounts or obligations incurred before termination.
- Linkstub may retain information as required or permitted by law, as described in our Privacy Policy.
- Certain provisions of this Agreement will survive, as described in Section 12.7.
3. TICKETS, PAYMENTS, AND REFUNDS
3.1 Linkstub's Role
The Services allow Organizers to offer tickets to and registration for their Events, and allow you to purchase tickets and register for those Events. The Organizer is the seller of the tickets for its Event, and your purchase of a ticket is a transaction between you and the Organizer. Linkstub's name appearing on a payment statement, receipt, or order confirmation as the payee or as the party collecting payment does not make Linkstub the seller. Linkstub does not own, operate, or control Organizers' Events or the venues where they take place.
By purchasing or registering for a ticket through the Services, you acknowledge and agree that:
- The Organizer, not Linkstub, is responsible for the Event, including its performance, content, quality, safety, and execution, and for accurately describing it.
- The Organizer sets ticket prices, the Refund Policy, and the other Event Terms.
- Your purchase and your attendance are subject to the Event Terms and the rules of the venue, which may be in addition to this Agreement.
- Linkstub does not guarantee the availability of tickets for any Event.
- Changes to Event details, such as date, time, venue, or performers, are the responsibility of the Organizer.
3.2 Prices and Fees
Organizers set the prices of their tickets. Linkstub sets the Linkstub Fees, which may be added to the ticket price or included in it, and which may differ between Events. The price of your order, including applicable fees, is shown to you before you complete your purchase. Prices are in the currency displayed for the Event.
You acknowledge and agree that:
- Linkstub Fees are charged for the use of the Services and are non-refundable, except as required by law or as Linkstub decides in its discretion.
- You must provide accurate and complete payment information, and you represent and warrant that you are authorized to use each payment method you provide.
- You are responsible for any taxes that apply to your purchase, other than taxes included in the price or collected at checkout.
- Linkstub may change the Linkstub Fees at any time. A change does not affect orders completed before it takes effect.
3.3 Payment Processing and Payment Collection
Payments are processed by third-party payment processors, such as Stripe. By completing a purchase, you authorize the Organizer, and Linkstub and our payment processors acting on the Organizer's behalf (or, for Linkstub Fees, on Linkstub's own behalf), to charge the total amount of your order, including Linkstub Fees and applicable taxes, to your selected payment method, and to credit it for any refund.
Depending on the Organizer's payment setup, your payment may be made to the Organizer through the Organizer's own account with the payment processor, in which case the Organizer is the merchant of record for your payment, or it may be collected by Linkstub, or through an account that Linkstub designates, on the Organizer's behalf. Where Linkstub collects payment for an Organizer, Linkstub acts as the Organizer's limited payment collection agent, solely for the purpose of accepting payment from you on the Organizer's behalf. Your payment to Linkstub, or to the account Linkstub designates, satisfies your obligation to pay the Organizer for your order to the extent of the payment. Acting as a payment collection agent does not make Linkstub the seller of the tickets or a party to your agreement with the Organizer.
Your use of a payment processor is also subject to that processor's own terms and privacy policy.
3.4 Tickets
A ticket is a revocable license to attend the Event, subject to this Agreement, the Event Terms, the venue's rules, and applicable law. The Organizer or the venue may refuse admission to, or remove, any person in accordance with the Event Terms, the venue's rules, and applicable law. To the extent permitted by law, Linkstub or the Organizer may cancel a ticket or an order, or decline to issue one, in cases of suspected fraud, unauthorized use of a payment method, a payment that is disputed or reversed, an obvious error in price or availability, or a violation of this Agreement or the Event Terms.
3.5 Refunds
All ticket purchases are subject to the Refund Policy established by the Organizer, and refunds are the responsibility of the Organizer. Linkstub does not establish Refund Policies. Unless the Organizer provides otherwise or applicable law requires otherwise, ticket purchases are final and non-refundable.
If you wish to request a refund, you should:
- Review the Refund Policy for the Event, as made available by the Organizer.
- Contact the Organizer, using the contact information provided for the Event, or contact us and we may help you reach the Organizer.
- Follow the Organizer's procedures for requesting a refund.
Linkstub may process refunds on the Organizer's behalf where authorized by the Organizer or permitted under our agreement with the Organizer, and will process any refund that applicable law requires Linkstub to provide. Refunds issued through the Services are generally returned to the original payment method.
3.6 Ticket Transfer and Resale
Tickets may be transferred or resold only as permitted by the Event Terms, the features of the Services, and applicable law. To the extent permitted by law, tickets transferred or resold in violation of this Section may be canceled without refund or other compensation.
3.7 Event Changes and Cancellations
Events may be postponed, rescheduled, changed, or canceled by the Organizer. Linkstub is not responsible for changes to Event details or for Event cancellations. Linkstub or the Organizer may notify you of a change or cancellation using the contact information associated with your order or account, but it is your responsibility to check the status of the Event before attending. If an Event is canceled, the Organizer's Refund Policy and applicable law determine whether you are entitled to a refund. Linkstub is not responsible for any additional costs you incur in connection with Event changes or cancellations, such as travel or accommodation expenses.
3.8 Payment Disputes
If you believe a charge is incorrect, please contact the Organizer or us at support@linkstub.com first. If you dispute a charge with your card issuer or bank, Linkstub and the Organizer may share information about your order with the payment processor and your issuer to respond to the dispute. If a payment is disputed or reversed, the related tickets may be canceled or suspended until the matter is resolved, to the extent permitted by law.
3.9 Ticket Custody
You are responsible for keeping your tickets, barcodes, QR codes, links, and other access codes safe and private, whether they are delivered by email, by text message, through the Services, in a digital wallet, or on paper, and for the security of the devices and accounts where you keep them. A ticket may admit only the first person who presents it, and anyone who obtains a copy of your ticket or code may be able to use it before you do. Do not post, share, or send your tickets or codes, including by forwarding them or sharing a screenshot or photo of them, except to a person you bought the ticket for or as permitted by Section 3.6.
To the fullest extent permitted by law, Linkstub is not responsible for a ticket, barcode, QR code, or other code that is lost, stolen, forwarded, shared, screenshotted, copied, or duplicated after it is delivered or made available to you, or for any admission denied or allowed as a result, and, except as applicable law requires, Linkstub does not owe any refund, replacement, or other compensation for any of them. Whether the Organizer owes you anything in those cases is governed by the Event Terms and applicable law. Linkstub may, in its discretion, replace or reissue a ticket or code, in which case the earlier ticket or code may be canceled.
4. USER CONDUCT AND PROHIBITED ACTIVITIES
4.1 General Conduct
When using the Services, you agree to act in a respectful and lawful manner. You shall not use the Services to:
- Violate any applicable laws, regulations, or third-party rights.
- Engage in or promote discriminatory practices based on race, color, religion, gender, gender identity, sexual orientation, national origin, disability, age, or any other legally protected characteristic.
- Harass, intimidate, or threaten other users, Organizers, or Linkstub employees.
- Disrupt or interfere with the experience of other users.
- Impersonate any person or entity, including Linkstub employees or representatives.
- Provide false or misleading information.
4.2 Prohibited Activities
You shall not use the Services to:
- Engage in fraudulent activities, including purchasing tickets with stolen or unauthorized payment information.
- Attempt to circumvent any security measures, purchase limits, or access controls implemented by Linkstub or an Organizer.
- Use automated systems, bots, scripts, or other technological means to access the Services, purchase tickets, or collect information from the Services.
- Distribute malware, spyware, or other malicious code.
- Engage in activities that could overload, disable, or impair the functionality of the Services.
- Reverse engineer, decompile, or attempt to extract the source code of the Services.
- Create multiple accounts to circumvent restrictions or limitations.
- Purchase tickets for the purpose of reselling them, except as permitted under Section 3.6.
- Publish, post, upload, or distribute any Content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable.
- Use the Services for any high-risk activities, including the operation of critical infrastructure, emergency services, or any application where failure could lead to death, personal injury, or environmental damage.
Violation of these prohibitions may result in suspension or termination of your account, cancellation of your tickets to the extent permitted by law, and legal liability.
5. PRIVACY AND ATTENDEE INFORMATION
5.1 Privacy Policy
Our Privacy Policy explains how we handle personal information. It is a notice of our privacy practices; it is not a contract and is not part of this Agreement.
To the extent permitted by law, you consent to Linkstub and its service providers collecting, recording, and analyzing information about your use of and interactions with the Services, including through cookies, pixels, tags, session recordings, chat and support tools, and similar technologies, in each case to operate, secure, and improve the Services, subject to any privacy choices that the Services make available to you. This consent is given in this Agreement and does not depend on the Privacy Policy being part of this Agreement.
5.2 Information Shared with Organizers
To provide the Services, we share information about your orders and registrations with the Organizer of the Event, including your name, contact details, ticket details, check-in status, your responses to the Organizer's checkout questions, and related profile information, such as social media information associated with you. The Organizer may use this information under its own practices, for which Linkstub is not responsible.
5.3 Social Features
Where an Organizer enables social features, such as showing who is attending an Event, you grant Linkstub a worldwide, non-exclusive, royalty-free license to display your first name, profile photo, and public social media handle associated with you, together with the fact that you are attending or have attended the Event, on the Event page and to other users of the Services, in connection with that Event and the Services. You may opt out of being displayed in these features as described in our Privacy Policy.
5.4 Information About Other People
If you provide information about another person, for example when you purchase a ticket for someone else or enter an attendee's name and contact details, you represent and warrant that you have the right to provide that information and to have it used as described in this Agreement and our Privacy Policy, including to send that person their ticket and messages about the Event.
6. COMMUNICATIONS
6.1 Who Sends Messages
Messages you receive in connection with the Services may come from Linkstub or from an Organizer.
- Messages from Linkstub. We may send you messages about your account, your orders and tickets, the Events you have purchased tickets to or registered for, and, where permitted by law, the Services.
- Messages from Organizers. Organizers are independent businesses and are not Linkstub's agents. An Organizer may send its own messages using its own systems or using messaging tools available through the Services, which may send messages from phone numbers, short codes, sender names, or email addresses that Linkstub provides. Linkstub does not control Organizers' messaging. The Organizer alone decides whether, when, to whom, and what to send; the Organizer is the sender of its messages; and the Organizer is solely responsible for obtaining any consent required by law, honoring opt-out requests, and complying with applicable law, including the Telephone Consumer Protection Act, the CAN-SPAM Act, and wireless industry guidelines. Our tools may apply automated checks designed to enforce our policies and applicable law; those checks do not make Linkstub the sender of an Organizer's message.
The fact that a message refers to an Event offered through the Services, contains a link to a page on the Services, or is sent from a phone number, short code, sender name, or email address that Linkstub provides does not mean that the message was sent by Linkstub.
6.2 Text Messages
The following terms apply to text messages you receive in connection with the Services:
- Program Description: Text messages may include order and ticket confirmations, Event updates and reminders, account notifications, and, where you have agreed to receive them, marketing messages from Linkstub or from an Organizer.
- Consent: By providing your mobile phone number and agreeing to receive text messages, you represent that you are the subscriber or authorized user of that number. Where required by law, you are not required to agree to receive marketing text messages as a condition of any purchase.
- Message Frequency: Message frequency varies.
- Fees: Message and data rates may apply, as determined by your mobile service provider.
- Opting Out: To stop text messages from a sender, reply STOP to a message from that sender. Opting out of messages from one sender may not stop messages from other senders, including other Organizers or Linkstub. You may receive a message confirming your opt-out.
- Help: For help, reply HELP to a message, or email support@linkstub.com.
- Delivery: Carriers are not liable for delayed or undelivered messages. Linkstub does not guarantee the delivery or timeliness of any message.
- Mobile Information: Mobile phone numbers collected through a text messaging opt-in, and text messaging opt-in data and consent, will not be shared with third parties or affiliates for their marketing or promotional purposes. Text messaging opt-in data and consent will not be shared with third parties, except service providers that help deliver messages. This item does not limit the use and sharing of contact details you provide when you buy or register for a ticket, as described in Section 5.2 and our Privacy Policy.
- Privacy: Our Privacy Policy explains how we handle personal information.
6.3 Email
You may receive emails from Linkstub and from Organizers, including messages about your orders, tickets, and account, Event updates, and, where permitted by law, marketing messages. To stop marketing emails from a sender, use the unsubscribe link in an email from that sender. Unsubscribing stops marketing emails from that sender, but you may continue to receive messages about your orders, tickets, account, and the Events you have purchased tickets to or registered for.
For questions about email communications, please contact support@linkstub.com.
6.4 Electronic Communications
You consent to receive agreements, notices, disclosures, receipts, and other communications from us electronically, including by email, text message, or through the Services, and agree that they satisfy any legal requirement that such communications be in writing. You may withdraw this consent by closing your account and stopping use of the Services; withdrawal does not affect communications already provided. You are responsible for keeping your email address current and for having the hardware and software needed to access and retain electronic communications.
6.5 Delivery of Messages
Tickets, order confirmations, receipts, reminders, Event updates, sign-in codes and links, and other messages and notices that we or an Organizer send you are sent electronically and may be delayed, filtered, blocked, or not delivered. To the fullest extent permitted by law, Linkstub does not guarantee that any message will be delivered or delivered on time, and is not responsible or liable for any delay or failure in delivery or receipt caused by carriers, email, internet, or messaging providers, spam or junk filters, your device, mailbox, or settings, or inaccurate or outdated contact details. You are responsible for keeping your email address, phone number, and other contact details accurate and up to date, and you should check the Event page for changes before attending.
7. DISPUTE RESOLUTION
7.1 Informal Resolution
Before bringing a formal proceeding against the other, you and Linkstub agree to try to resolve any dispute informally. To start, contact us at support@linkstub.com with a description of the dispute and the relief you seek. If the dispute is not resolved within thirty (30) days after it is submitted, either party may bring a formal proceeding as described in this Section. This Section 7.1 does not apply to claims for injunctive or other equitable relief, claims relating to intellectual property or misuse of the Services, or claims by Linkstub to recover amounts you owe. Any applicable limitations period is tolled while the parties attempt informal resolution under this Section.
7.2 Disputes with Organizers
Disputes relating to an Event, including disputes about cancellations, postponements, refunds, admission, or the quality of an Event, are between you and the Organizer and should be directed to the Organizer. Linkstub is not responsible for resolving disputes between you and Organizers. However, Linkstub may, at its discretion, help facilitate communication between you and the Organizer.
To the fullest extent permitted by law, you release Linkstub and its affiliates, and their respective members, managers, officers, directors, employees, and agents, from all claims, demands, and damages of every kind, known and unknown, arising out of or in any way connected with any dispute between you and an Organizer, venue, or other user, or with any Event. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you reside elsewhere, you waive any comparable law. This release does not apply to any liability that cannot be released under applicable law.
7.3 Governing Law and Courts
This Agreement, and any dispute arising out of or relating to this Agreement or the Services, shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles, except as otherwise required by applicable law. To the extent permitted by law, any dispute arising out of or relating to this Agreement or the Services shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you and Linkstub consent to the personal jurisdiction and venue of those courts. Either party may, however, bring an individual claim in a small claims court that has jurisdiction over it.
7.4 Waiver of Jury Trial
TO THE EXTENT PERMITTED BY LAW, YOU AND LINKSTUB EACH WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES.
7.5 Time Limit for Claims
To the extent permitted by law, any claim arising out of or relating to this Agreement or the Services must be filed within one (1) year after the claim arose; otherwise, the claim is permanently barred.
8. LIABILITY AND INDEMNIFICATION
8.1 Limitation of Liability
To the fullest extent permitted by law, Linkstub and its affiliates, and their respective members, managers, officers, directors, employees, agents, licensors, and service providers, shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of the Services or this Agreement, even if Linkstub has been advised of the possibility of such damages.
To the fullest extent permitted by law, in no event shall the total liability of Linkstub, its affiliates, and their respective members, managers, officers, directors, employees, agents, licensors, and service providers, taken together, arising out of or relating to this Agreement or the Services, for all claims in the aggregate, exceed the greater of (a) the Linkstub Fees you paid to Linkstub, as distinct from amounts paid to or for an Organizer, in the twelve (12) months before the claim arose, and (b) one hundred U.S. dollars (US$100). Linkstub's affiliates and the other persons whose liability is excluded or limited by this Section 8.1, who are released under Section 7.2, or who are indemnified under Section 8.2 are intended third-party beneficiaries of those Sections.
This limitation of liability applies to all claims, whether based on warranty, contract, tort, or any other legal theory. It applies to all aspects of the Services, including:
- Platform availability and performance.
- Security incidents or data breaches, except as required by applicable data protection laws.
- Errors or inaccuracies in the Services or in any Event information.
- The acts or omissions of any Organizer, venue, other user, or other third party, and anything that occurs at an Event.
- Third-Party Services used with the Services.
- Actions taken by Linkstub to comply with laws or regulations.
- Decisions made by Linkstub regarding account suspension or termination.
- Changes to features, functionality, or this Agreement.
- Disputes between you and Organizers or other third parties.
Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law. Certain jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In those jurisdictions, Linkstub's liability is limited to the fullest extent permitted by law.
8.2 Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Linkstub, its affiliates, and their respective members, managers, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorney fees) arising from or relating to your misuse of the Services, your Content, any information you provide about another person, your breach of this Agreement or the Event Terms, your violation of applicable laws or the rights of any third party, or your disputes with Organizers or other users. This duty of indemnification survives the termination or expiration of this Agreement.
8.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. LINKSTUB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Linkstub does not guarantee:
- That the Services will meet your specific requirements or expectations.
- That defects in the Services will be corrected.
- That the Services will be available at any particular time or location.
- The accuracy, reliability, or completeness of any Event information or other information provided through the Services.
- That any Event will take place as described, or at all.
- The quality, safety, suitability, or legality of any Event or venue.
- That Third-Party Services will continue to function or remain available.
These disclaimers apply to all aspects of the Services, including any advice or recommendations provided by Linkstub or its representatives. No advice or information, whether oral or written, obtained from Linkstub or through the Services will create any warranty not expressly stated in this Agreement.
8.4 Force Majeure
Neither party shall be liable for any failure or delay in performance under this Agreement (other than for payment obligations) due to causes beyond its reasonable control, including acts of God, natural disasters, pandemic, epidemic, acts of war or terrorism, riots, civil disorders, rebellions, fires, floods, sabotage, power outages, telecommunications or internet failures, cyberattacks, strikes, acts or omissions of third parties, or governmental actions.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 Linkstub Intellectual Property
All right, title, and interest in and to the Services, including all intellectual property rights, remain the exclusive property of Linkstub and its licensors. Content provided by Organizers belongs to the Organizers or their licensors. Subject to your compliance with this Agreement, Linkstub grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes. Nothing in this Agreement transfers any other rights in the Services to you.
Protected elements include:
- Software code, algorithms, and architecture.
- User interface designs and visual elements.
- Logos, trademarks, and brand identifiers.
- Documentation, tutorials, and help content.
- Data structures and organizational schemas.
- Proprietary methods and processes.
- Patents, patent applications, and trade secrets.
- Copyrighted works and derivative works.
You agree not to:
- Copy, modify, or create derivative works based on the Services.
- Reverse engineer, decompile, or disassemble the Services.
- Remove, obscure, or alter any proprietary notices on the Services.
- Sell, license, sublicense, or otherwise transfer rights to the Services.
- Use the Services for purposes not authorized by this Agreement.
- Attempt to gain unauthorized access to the Services or related systems.
9.2 Your Content
You may submit Content through the Services, such as your profile name, photos, and bio, and your responses to checkout questions. You retain ownership of your Content. You grant Linkstub and its affiliates a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, modify (for example, to format or resize it), adapt, publish, display, distribute, and transmit your Content, including by sharing it with Organizers and our service providers, in connection with operating, providing, promoting, and improving the Services and complying with legal obligations. This license continues for as long as we retain your Content, including within order and transaction records that we are required or permitted to keep, and survives the termination of this Agreement for Content that has been shared with others.
You represent and warrant that:
- You own the Content you submit or have the right to grant the license described above.
- The Content does not infringe upon or misappropriate any intellectual property rights, privacy rights, publicity rights, or other rights of any third party.
- The Content does not violate any applicable laws, regulations, or obligations.
- The Content is not defamatory, obscene, harmful, or otherwise objectionable.
Linkstub may remove or refuse to display any Content at its discretion.
9.3 Infringement Complaints
If you believe that Content on the Services infringes your copyright or other rights, you may notify us at legal@linkstub.com. Please identify the work or right concerned, the material you believe infringes it and where it appears on the Services, and how we can contact you. We may remove or disable access to Content that is claimed to infringe, and we may suspend or terminate the accounts of users who repeatedly infringe the rights of others.
9.4 Feedback
If you send us suggestions or feedback about the Services, you grant Linkstub a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
10. THIRD-PARTY SERVICES
The Services rely on and may link to Third-Party Services, including payment processors, digital wallets, maps, email and messaging delivery, and security tools, as well as websites operated by Organizers and others. Your use of Third-Party Services may be subject to their own terms and privacy policies. Linkstub does not control and is not responsible for Third-Party Services or their content, availability, or practices.
Some features of the Services may use Google Maps features and content. Your use of those features is subject to the then-current Google Maps/Google Earth Additional Terms of Service and the Google Privacy Policy.
11. CHANGES TO THIS AGREEMENT AND THE SERVICES
11.1 Changes to this Agreement
Linkstub may modify this Agreement from time to time. We will post the modified Agreement on the Services with a new "Last Updated" date and will provide any additional notice of changes that applicable law requires. The modified Agreement takes effect when posted, unless a later date is stated. Changes do not apply to disputes that arose, or to purchases completed, before the changes take effect. To the extent permitted by law, your continued use of the Services after the modified Agreement takes effect constitutes your acceptance of it. If you do not agree to the modified Agreement, you must stop using the Services.
11.2 Changes to the Services
Linkstub may modify, update, suspend, or discontinue the Services, or any part of them, at any time. Linkstub is not liable to you for any such change, except as expressly provided in this Agreement or required by law.
12. MISCELLANEOUS
12.1 Entire Agreement
This Agreement, together with any additional terms that apply to specific areas of the Services, constitutes the entire agreement between you and Linkstub with respect to your use of the Services. Any other agreements, understandings, or representations (whether oral or written) between you and Linkstub that relate to the subject matter of this Agreement are superseded. The Event Terms form a separate agreement between you and the Organizer and do not bind Linkstub. The Privacy Policy is not part of this Agreement.
12.2 Severability
If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.
12.3 No Waiver
No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right. No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition.
12.4 Assignment
You may not assign or transfer your rights or obligations under this Agreement without Linkstub's prior written consent. Linkstub may assign or transfer this Agreement, in whole or in part, without your consent, including to an affiliate or in connection with a merger, acquisition, reorganization, or sale of assets. From the date an assignment or transfer takes effect, the assignee or transferee takes Linkstub's place under this Agreement to the extent of the transfer, you will be bound to it as if it had been the original party, and, to that extent and to the extent permitted by law, Linkstub, as assignor or transferor, is released from the obligations arising after that date that the assignee or transferee assumes, whether expressly or by operation of law. Except as stated in the preceding sentence, references in this Agreement to Linkstub include its successors and permitted assigns.
12.5 Relationship of the Parties
Nothing in this Agreement creates a partnership, joint venture, employment, or franchise relationship between you and Linkstub. Except as described in Section 3.3, nothing in this Agreement makes Linkstub an agent of you or of any Organizer.
